These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Planz ("Company," "we," "us," or "our"), a company registered under Meydan Freezone, Dubai, United Arab Emirates. These Terms govern your access to and use of the Planz mobile application, website at planz.ae, and all related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

1.1. By creating an account, accessing, or using the Platform in any manner, you agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein.

1.2. We reserve the right to update or modify these Terms at any time in accordance with Section 14 below. Your continued use of the Platform following any such changes constitutes your acceptance of the revised Terms.

1.3. If you are using the Platform on behalf of a group, organization, or entity, you represent and warrant that you have the authority to bind such group, organization, or entity to these Terms.

2. Eligibility

2.1. The Platform is available only to individuals who are at least eighteen (18) years of age. By using the Platform, you represent and warrant that you are at least 18 years old.

2.2. The Platform is intended for use by residents of and visitors to the United Arab Emirates and the broader Gulf Cooperation Council ("GCC") region. While access from other jurisdictions is not technically restricted, the Platform's features, venue listings, and services are designed for and limited to the UAE and GCC markets.

2.3. By using the Platform, you represent and warrant that:

(a) You have the legal capacity to enter into a binding agreement;

(b) You are not barred from using the Platform under the laws of the United Arab Emirates or any other applicable jurisdiction;

(d) All information you provide during registration and use of the Platform is accurate, current, and complete.

2.4. We reserve the right to request proof of age or identity at any time and to suspend or terminate accounts where eligibility requirements are not met.

3. Account Registration and Security

3.1. To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2. You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately at support@planz.ae of any unauthorized use of your account or any other breach of security.

3.3. You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities. We shall not be liable for any loss or damage arising from your failure to maintain the security of your account.

3.4. You may not:

(a) Create more than one account per person;

(b) Create an account using false, misleading, or another person's identity information;

(d) Transfer or assign your account to any other person or entity without our prior written consent.

3.5. We reserve the right to suspend, disable, or delete your account at our sole discretion if we determine that you have violated any provision of these Terms or if your account has been inactive for an extended period.

4. The Planz Platform

4.1. Marketplace Model. Planz operates as a marketplace platform that connects Users with independent third-party venues, activity providers, and experience hosts ("Venues"). Planz is not a venue operator, event organizer, activity provider, or hospitality service. We facilitate the discovery, coordination, and booking of group activities and experiences offered by Venues.

4.2. No Agency Relationship. Planz does not act as an agent, partner, joint venturer, or employee of any Venue. The relationship between Users and Venues is a direct contractual relationship. Planz is not a party to any agreement between a User and a Venue, except to the extent that Planz facilitates payment processing as described in Section 7.

4.3. Venue Independence. Each Venue is an independent third party solely responsible for:

(a) The quality, safety, legality, and suitability of its premises, activities, and services;

(b) The accuracy of its listings, descriptions, pricing, availability, and promotional materials;

(d) Its own terms and conditions, cancellation policies, and house rules, except where superseded by these Terms.

4.4. No Warranty on Venue Services. While we endeavor to list reputable Venues and may conduct basic verification, we do not endorse, certify, inspect, or guarantee any Venue, its services, or the experiences it provides. Users engage with Venues at their own risk.

4.5. Platform Features. The Platform enables Users to:

(a) Discover and browse hobby-related activities and venues;

(b) Create and join group plans ("Nudges");

(d) Book venue slots and experiences for group activities;

(e) Process split payments among group participants;

(f) Communicate with group members through in-app messaging.

5. User Conduct

5.1. Anti-Dating Policy. Planz is explicitly and solely a hobby-native social platform designed for group activity coordination. Planz is NOT a dating platform. The following conduct is strictly prohibited:

(a) Using the Platform for the purpose of romantic solicitation, dating, or seeking romantic or sexual partners;

(b) Sending unsolicited romantic or sexual messages, advances, or proposals to other Users;

(c) Creating a profile or using the Platform primarily for the purpose of meeting individuals for romantic or sexual purposes;

(d) Posting content of a romantic, sexual, or suggestive nature in any area of the Platform;

(e) Using group plans, Nudges, or any Platform feature as a pretext for arranging dates or romantic encounters.

5.2. Harassment and Abuse. The following conduct is strictly prohibited:

(a) Harassing, threatening, intimidating, stalking, or bullying other Users;

(b) Engaging in discriminatory conduct or hate speech based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic;

(d) Engaging in any form of verbal, written, or physical abuse directed at other Users, Venue staff, or any individual encountered through use of the Platform.

5.3. General Prohibited Behavior. You agree not to:

(a) Use the Platform for any illegal, fraudulent, or unauthorized purpose;

(b) Impersonate any person or entity or misrepresent your affiliation with any person or entity;

(c) Interfere with, disrupt, or attempt to gain unauthorized access to the Platform, its servers, or networks connected to the Platform;

(d) Use automated scripts, bots, scrapers, or other automated means to access the Platform or collect data therefrom;

(e) Upload, transmit, or distribute viruses, malware, or any other harmful code;

(f) Manipulate, circumvent, or attempt to circumvent the Platform's payment systems, pricing, or fee structures;

(g) Create false, misleading, or fraudulent bookings or Nudges;

(h) Engage in any commercial solicitation, advertising, or spam through the Platform without our prior written consent;

(i) Violate the intellectual property rights of Planz, other Users, Venues, or any third party;

(j) Assist, encourage, or enable any other User to engage in any of the prohibited activities described in this Section 5.

5.4. Reporting. Users may report violations of these Terms through the in-app reporting feature or by contacting support@planz.ae. We will investigate reported violations and take appropriate action, which may include warnings, content removal, account suspension, or permanent termination.

5.5. Consequences. Violations of this Section 5 may result in immediate account suspension or termination without prior notice, forfeiture of any pending bookings or refunds, and, where applicable, referral to law enforcement authorities.

6. Nudges, Plans, and Bookings

6.1. Creating a Nudge. A "Nudge" is a group plan initiated by a User (the "Host") to coordinate an activity with other Users. The Host selects the activity type, proposes dates and times, and invites other Users to join.

6.2. Joining a Nudge. Users may join a Nudge by accepting an invitation or responding to a shared Nudge. By joining a Nudge, you indicate your interest in participating in the proposed activity and agree to the terms of the group plan as set by the Host.

6.3. Quorum and Confirmation. Certain Nudges or Venue bookings may require a minimum number of participants ("Quorum"). A booking is confirmed only when:

(a) The Quorum requirement is met, if applicable;

(b) The Venue has confirmed availability;

6.4. Booking Flow. When a Nudge proceeds to booking:

(a) The Platform presents available Venue options, pricing, and time slots;

(b) Participating Users review and approve the total cost, including the Platform fee;

(d) Upon successful payment processing for all participants, the booking is confirmed and a confirmation is sent to all participants and the Venue.

6.5. User Responsibility. Users are responsible for arriving on time, adhering to Venue rules and policies, and conducting themselves appropriately during booked activities. Planz is not liable for any User's conduct at a Venue.

6.6. No Guarantee of Availability. Venue availability, pricing, and offerings are subject to change without notice. Planz does not guarantee that any particular Venue, time slot, or activity will be available.

7. Payments and Fees

7.1. Platform Fee. Planz charges a platform commission of eight percent (8%) on each booking transaction facilitated through the Platform (the "Platform Fee"). The Platform Fee is calculated on the base booking price set by the Venue.

7.2. Payment Processing. All payments on the Platform are processed by Stripe, Inc. through Stripe Connect ("Payment Processor"). Stripe is a PCI DSS Level 1 certified payment processor. By using the Platform and making payments, you also agree to Stripe's terms of service and privacy policy, as applicable.

7.3. Price Transparency. Users will see the total price at checkout, which includes the base venue price and the Platform Fee. The total price displayed at checkout is the final amount the User will be charged. There are no hidden fees.

7.4. Processing Fees. Payment processing fees charged by Stripe are absorbed by the Venues and are not passed on to Users. Users are not responsible for any third-party payment processing charges in connection with Platform transactions.

7.5. Split Payments. For group bookings, the total cost (including the Platform Fee) is divided among participating Users. Each User is charged their proportional share. The specific split is displayed and confirmed by each User before payment authorization.

7.6. Currency. All prices on the Platform are displayed in United Arab Emirates Dirhams (AED) unless otherwise indicated. Users are responsible for any currency conversion fees charged by their bank or card issuer for transactions originating from non-AED accounts.

7.7. Payment Methods. Users may pay using the payment methods accepted by the Payment Processor, which may include credit cards, debit cards, and other payment instruments as made available from time to time.

7.8. Failed Payments. If a User's payment fails, the User's participation in the booking may be canceled. If such failure affects the Quorum requirement, the entire booking may be canceled and other participants refunded in accordance with Section 8.

7.9. Payouts to Venues. Venue payouts are processed through Stripe Connect in accordance with the terms agreed between Planz and each Venue. Payout timing and terms are governed by Venue agreements and are not within the scope of these Terms.

8. Cancellation and Refund Policy

8.1. User-Initiated Cancellation. Users may cancel their participation in a confirmed booking subject to the following schedule:

(a) More than 24 hours before the scheduled event: Full refund of the User's share, including the proportional Platform Fee.

(b) Between 12 and 24 hours before the scheduled event: Refund of fifty percent (50%) of the User's share, including the proportional Platform Fee.

(c) Less than 12 hours before the scheduled event or no-show: No refund. The full amount of the User's share is forfeited.

8.2. Quorum Failure. If a confirmed booking fails to maintain the minimum number of participants required by the Venue or the Nudge ("Quorum Failure"), all remaining participants will receive a full automatic refund of their respective shares, including the proportional Platform Fee. Planz will process Quorum Failure refunds within five (5) to ten (10) business days.

8.3. Venue Cancellation. If a Venue cancels a confirmed booking for any reason, all participating Users will receive a full automatic refund of their respective shares, including the proportional Platform Fee. Planz will process Venue Cancellation refunds within five (5) to ten (10) business days.

8.4. Effect of Individual Cancellation on Group Bookings. If an individual User's cancellation causes a Quorum Failure, Section 8.2 applies to the remaining participants. If the group booking remains viable after an individual cancellation, the remaining participants' shares may be recalculated, and Users will be notified of any changes.

8.5. Refund Method. All refunds will be processed to the original payment method used for the transaction. Refund processing times may vary depending on the User's bank or card issuer but will generally be completed within five (5) to ten (10) business days after the refund is initiated.

8.6. Dispute Resolution. Users who believe they are entitled to a refund not covered by the above provisions, or who dispute any charge, may submit a dispute through the in-app support feature or by contacting support@planz.ae. Planz will review each dispute on a case-by-case basis and respond within a reasonable timeframe. Planz's determination on refund disputes is final, subject to the User's rights under applicable law and Section 15 of these Terms.

8.7. Planz-Initiated Cancellation. Planz reserves the right to cancel any booking at its sole discretion if it determines that a violation of these Terms has occurred, if fraud is suspected, or if continuation of the booking would pose a safety risk. In such cases, refunds will be issued at Planz's sole discretion.

9. User Content

9.1. Definition. "User Content" means any content that Users submit, post, upload, or transmit through the Platform, including but not limited to profile information, profile photos, messages, reviews, ratings, group plan descriptions, and any other materials.

9.2. License Grant. By submitting User Content to the Platform, you grant Planz a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating, promoting, and improving the Platform. This license continues for so long as your User Content remains on the Platform and for a reasonable period after deletion to allow for removal from backup systems.

9.3. Ownership. You retain ownership of your User Content, subject to the license granted in Section 9.2. You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to submit your User Content and to grant the license described herein.

9.4. Content Standards. User Content must not:

(a) Be false, misleading, defamatory, obscene, or offensive;

(b) Infringe upon the intellectual property rights, privacy rights, or other rights of any third party;

(d) Violate any applicable law or regulation;

(e) Violate the User Conduct provisions set forth in Section 5.

9.5. Content Moderation. We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion, without notice, for any reason, including but not limited to violations of these Terms. We are not responsible for any User Content posted by Users.

9.6. Deletion. Upon termination of your account, we will make reasonable efforts to delete your User Content, except where retention is required by law, necessary for legitimate business purposes, or where content has been shared with or incorporated into the content of other Users (e.g., group messages).

10. Intellectual Property

10.1. Planz Intellectual Property. The Platform, including its design, layout, look and feel, graphics, logos, trademarks, service marks, trade names, domain names, source code, algorithms, software, databases, and all related intellectual property (collectively, "Planz IP"), is owned by or licensed to Planz and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United Arab Emirates and international treaties.

10.2. Limited License to Users. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms.

10.3. Restrictions. You may not:

(a) Copy, modify, distribute, sell, lease, or create derivative works of the Platform or any Planz IP;

(b) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Platform;

(d) Use Planz's name, logo, or trademarks without our prior written consent;

(e) Frame, mirror, or otherwise incorporate any part of the Platform into any other website, application, or service without our prior written consent.

10.4. Feedback. If you provide Planz with any feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), you hereby assign to Planz all rights, title, and interest in such Feedback, and Planz may use, implement, and commercialize such Feedback without restriction, attribution, or compensation.

11. Limitation of Liability

11.1. Marketplace Safe Harbor. As a marketplace platform, Planz facilitates connections between Users and Venues but does not provide, control, or manage the activities, services, or experiences offered by Venues. To the maximum extent permitted by applicable law:

(a) Planz is not liable for any acts, omissions, errors, negligence, misconduct, or breaches by any Venue, including but not limited to the quality, safety, legality, or suitability of any venue, activity, or experience;

(b) Planz is not liable for any injury, illness, property damage, loss, or death arising from or related to any activity, experience, or service provided by a Venue;

11.2. Disclaimer of Warranties. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NUDGE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11.3. Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUDGE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

(a) Your use of or inability to use the Platform;

(b) Any conduct or content of any third party on the Platform;

(d) Unauthorized access to, use of, or alteration of your content or transmissions.

11.4. Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUDGE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF PLATFORM FEES YOU HAVE PAID TO NUDGE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED ARAB EMIRATES DIRHAMS (AED 100).

11.5. Essential Basis. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION 11 APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NUDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND NUDGE.

11.6. Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by applicable law.

12. Account Termination and Suspension

12.1. Termination by User. You may terminate your account at any time by using the account deletion feature in the Platform or by contacting support@planz.ae. Upon termination:

(a) Your right to access and use the Platform will immediately cease;

(b) Any pending bookings will be subject to the cancellation policy in Section 8;

12.2. Termination or Suspension by Planz. We may suspend or terminate your account and access to the Platform, in whole or in part, at our sole discretion, with or without notice, for any reason, including but not limited to:

(a) Violation of any provision of these Terms;

(b) Violation of the anti-dating policy or harassment policy set forth in Section 5;

(d) Conduct that is harmful to other Users, Venues, Planz, or third parties;

(e) Extended period of inactivity;

(f) Request by law enforcement or government authorities;

(g) Discontinuation or material modification of the Platform or any part thereof.

12.3. Effect of Termination. Upon termination of your account:

(a) All licenses and rights granted to you under these Terms will immediately terminate;

(b) You must cease all use of the Platform;

(c) We may, but are not obligated to, delete your User Content and account data, subject to applicable data retention laws and our Privacy Policy;

(d) Sections 9.2, 10, 11, 15, and 17 shall survive termination.

12.4. Appeals. If you believe your account was suspended or terminated in error, you may submit an appeal to support@planz.ae within thirty (30) days of the suspension or termination. We will review your appeal and respond within a reasonable timeframe. Our decision on appeals is final.

13. Privacy

13.1. Your privacy is important to us. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy, available at planz.ae/privacy (the "Privacy Policy").

13.2. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

13.3. You acknowledge that the Platform may share certain information with Venues as necessary to facilitate bookings, including your name, group size, and booking details. The extent of such sharing is described in the Privacy Policy.

13.4. We process personal data in accordance with applicable UAE data protection laws and regulations, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, as may be amended from time to time.

14. Modifications to Terms

14.1. We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will:

(a) Update the "Last Updated" date at the top of these Terms;

(b) Provide notice of the changes through the Platform, such as an in-app notification, push notification, or email to the address associated with your account;

14.2. Your continued use of the Platform after the effective date of any modified Terms constitutes your acceptance of such changes. If you do not agree with the modified Terms, you must stop using the Platform and terminate your account.

14.3. Non-material changes, such as formatting corrections, typographical fixes, or clarifications that do not alter the substance of the Terms, may be made without prior notice.

15. Dispute Resolution and Governing Law

15.1. Governing Law. These Terms and any dispute arising out of or in connection with these Terms or the Platform shall be governed by and construed in accordance with the laws of the United Arab Emirates, including applicable federal laws and the laws of the Emirate of Dubai, without regard to conflict of law principles.

15.2. Jurisdiction. Any disputes, claims, or proceedings arising out of or relating to these Terms or the Platform shall be submitted to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. You irrevocably submit to the jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts.

15.3. Informal Resolution. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@planz.ae and providing a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within this period, either party may proceed with formal legal proceedings as described in Section 15.2.

15.4. Time Limitation. Any claim or cause of action arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues. Any claim not brought within this period is permanently barred, to the extent permitted by applicable law.

15.5. Injunctive Relief. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

17. Severability and Entire Agreement

17.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

17.2. Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Planz with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between you and Planz regarding the Platform.

17.3. Waiver. The failure of Planz to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Planz.

17.4. Assignment. You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

17.5. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any person or entity, except as expressly provided herein.

17.6. Headings. The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

17.7. Language. These Terms are drafted in English. In the event of any conflict between an English version and a translated version of these Terms, the English version shall prevail.

17.8. Force Majeure. Planz shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, riots, embargoes, labor disputes, telecommunications failures, or internet disruptions.

By using Planz, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
